2006 Resolutions

January 20, 2006        

Chairman Marlowe called for approval of the minutes.  It was moved (Land) and seconded (Thompson) that the minutes of the October 13, 2005, Board of Trustees meeting be approved.  All in favor.

Finance Committee: 

The Finance Committee moves that the budget adjustments to the December 31, 2005 Financial Statements be approved as presented behind Tab 3.   Mr. Bell seconded the motion.  All  in favor.

The Finance Committee moves that the 2006/2007 Housing and Food Service Fees be approved as presented behind Tab 3.  Mr. Bell seconded the motion.  All in favor.

Facilities Committee:

The Facilities Committee moves to empower a special committee (Bobby Marlowe, Dwight Johnson, and Jimmy Hightower) to decide the scope of the arena project to be bid.  Joe Thompson seconded the motion.  All in favor.

Academic Affairs Committee:

The Academic Affairs Committee moves to add the word “similarly” in the last sentence of section 2.1 of the Consensual Relations Policy.  Joe Thompson seconded the motion.  All in favor.

The Academic Affairs Committee moves to approve a Minor in Neurosciences at the College of Charleston.  Joe Thompson seconded the motion.  All in favor.

The Academic Affairs Committee moves to approve a Master of Arts in Communication at the College of Charleston.  Sam Stafford seconded the motion.  All in favor.       

New Business:

There being no further business, it was moved (Miller) and seconded (Bell) to go into Executive Session   All in favor.

It was moved (Thompson) and seconded (Land) to come out of Executive Session and resume Regular Session.  All in favor.

It was moved (Land) and seconded (Bell) that Ed Sellers, Chairman and CEO of Blue Cross/Blue Shield, be awarded an honorary degree.  Mr. Sellers will be the speaker at the University of Charleston Commencement Ceremony in May 2006.

There being no further business, it was moved (Miller) and seconded (Land) that this meeting of the Board of Trustees be adjourned.  All in favor.

April 16, 2002

Chairman Smith called for approval of the minutes.  It was moved (Land) and seconded (McMaster) that the minutes of the January 18, 2002, meeting be approved.

All in favor.

Mr. Smith noted that Mr. Bell’s motion will be taken out of order:

It was moved (Bell) and seconded (McMaster) that the proposed fees for 2002-2003 at Tab IV of the Board Booklet be approved.

Mr. Small would like the Board to adopt a motion for a set percentage of in-state to out-of-state – 35% of masters and undergraduates for out-of-state – a little higher with just undergraduates.  Mr. Smith asked that they spend some time on this matter.

Back to the motion made about fees.

All in favor.  Tuition and fees behind Table IV passed.

Chairman Smith noted that since President Higdon has to leave the meeting early for an important college function, the Executive Session will begin early.  It was moved (Watson) and seconded (Weeks) to go into Executive Session after a short break.  (Break at 9:40 a.m.)  (Executive Session at 9:50 a.m.)

The motion was made (Land) and seconded (Dangerfield) that the Board come out of Executive Session (10:55 a.m.).  Regular session resumed at 11:00 a.m.

Academic Affairs Committee:

It was moved (Watson) and seconded (Clark) that these programs be adopted as a part of the curriculum as soon as possible. 

All in favor.

Budget and Finance Committee:

It was moved (Bell) and seconded (Miller) that the Financial Statement, with adjustments, be approved as reported at Tab IV. 

All in favor. 

It was moved (Bell) and seconded (McMaster) that the “General Bond Resolution” to finance the Kelly House Bonds be approved as found in Tab I of the Bond Resolution Supplement.

 “Authorizing and providing the issuance of higher education facilities revenue bonds

of the College of Charleston; prescribing the form of bonds; limiting the payment

of the bonds solely to certain designated revenues and pledging the revenues to

such payment; creating certain funds and providing for payments into such funds;

and making other covenants and agreements in connection with the foregoing…” 

All in favor.

It was moved (Bell) and seconded (Land) that all action taken in the issuance of Series 2002 A/B Bonds and the “Series 2002 A/B Bond Resolution” be approved as found in Tab II of the Bond Resolution Supplement with the following amendments:

Tab II, page 2 – Sizing for Series 2002A previously blank, now $10,620,000.

Tab II, page 2 – Sizing for Series 2002B previously blank, now $12,840,000.

Tab II, page 12 – Amend paragraph (b) to eliminate the required provision of projected

       revenue and expenses.

Tab II – There is a technical change in that the Bond Insurers requested information already

       being required in other parts of the Bond Resolution.

All in favor.

It was moved (Bell) and seconded (Dangerfield) that the Initial Authorizing Resolution for Series 2002C Bonds to deal with the purchase of the new dormitory on St. Philip Street be approved as found in Tab III of the Bond Resolution Supplement.

“Authorizing the Executive Committee of the Board of Trustees of the College

of Charleston to make arrangements necessary for the offering and sale of not

exceeding $24,000,000 Higher Education Facilities Revenue Bonds, Series 2002C,

of the College of Charleston.”

All in favor.

It was moved (Bell) and seconded (Price) that the Series 2002C Bond Resolution, a draft of which can be found at Tab IV of the Bond Resolution Supplement, be approved.  The draft should be considered substantially complete.

It was moved (Bell) and seconded (Land) that the Board authorize the issuance of $13 million in bonds for the School of the Arts and $6 million in bonds for the School of Business.

All in favor. 

Facilities Committee:

It was moved (Land) and seconded (Bell) that the Board approve the replacement lease for the North Area Campus.

All in favor.

It was moved (Land) and seconded (Watson) that the Board approve the purchase of 207 Calhoun Street after receipt of all required state approvals.

All in favor.

New Business:

It was moved (Smith) and seconded (Berry) that the film policy, including the new proposed rates, be approved.

All in favor.

There being no further business, it was moved (Watson) and seconded (Small) that this meeting of the Board of Trustees be adjourned.

July 19, 2002

Chairman Smith called for approval of the minutes.  It was moved (Berry) and seconded (Land) that the minutes of the April 16, 2002, meeting be approved.

All in favor.

Chairman Smith welcomed new Board members and asked for a motion for the election of Board Chairman.  Joe Thompson made a motion, and Cherry Daniel seconded, for Tex Small as Chairman.  Marie Land made the motion, and Laurie Thompson seconded, for Tim Dangerfield as Chairman.  Joe Thompson moved to close the nominations, and Charlotte Berry seconded.  Joel Smith stated that the bylaws would allow the Board to count Larry Miller’s absentee vote.  The election was held, the votes were counted, and Tex Small was elected Chairman. 

Tex Small opened the floor to nominations for Vice Chairman.  Creighton McMaster nominated Marie Land, and Charlotte Berry seconded the motion. Cheryl Hamilton moved that the nominations be closed, and Laurie Thompson seconded the motion.  Motion passed.  Marie Land will be the Vice Chairman.

Chairman Small opened the floor to nominations for Secretary.  Marie Land nominated Vincent Price, and Cherry Daniel seconded the motion.  Motion passed.  Vincent Price will be the Secretary.

Finance Committee:

Motion from the Finance Committee for the Board to approve the expanding of the Initial Authorizing Resolution for Series 2002C, approved at the April 16, 2002 Board meeting, to include College Parking Facilities in the definition of higher education facilities.  Tex Small noted that because it is a Resolution of the Committee, it needs no second. 

            “NOW THEREFORE, BE IT RESOLVED BY THE BOARD OF TRUSTEES OF THE COLLEGE IN MEETING DULY ASSEMBLED THAT:

1.         The Board of Trustees hereby declares that from the effective date of the Series 2002C Bond Resolution the Higher Education Facilities shall be comprised of (i) the student and faculty housing facilities, (ii) the food service facilities, and (iii) the parking facilities of the College.

2.         The Board of Trustees hereby declares that the Revenues shall now be composed of revenues derived from the operation of all of the Higher Education Facilities listed in paragraph 1.

3.         The operative terms of this Resolution shall be incorporated into the Series 2002C Bond Resolution.”

This will add a source of revenue to pay interest on the bonds to be issued on August 6, 2002. 

Motion passed.

Motion from the Finance Committee for the Board to approve the 2002-2003 Proposed Budget presented at Tab IV-B of the Board Booklet. 

Mr. Gary McCombs gave a PowerPoint Presentation of the Proposed Budget.  The budget information is presented at Tab IV-B of the Board Booklet. 

Motion passed.

Motion from the Finance Committee for the Board to approve the 2001-02 Revenue and Expense Budget adjustments as reported at Tab IV-A of the Board Booklet. 

Motion passed.

Motion from the Finance Committee for the Board to approve the 2002-03 Proposed Application Fee Revision.

Increase the application fee for the “printed version” of the admissions application from $35 to $45.  The current $35 rate would be maintained for the electronic version as an incentive for individuals to apply on-line. 

Motion passed.

Motion from the Finance Committee for the Board to approve the New Residence Life Fees for the price of a single room in the Kelly House and the McAlister Residence Hall.

“Create a new rate for the Kelly House private rooms (2002-2003 Academic Year) at $5,606.  This amount will be charged to students receiving an apartment style room with no roommate.  The previously approved standard double rate for Kelly House and the New Residence Hall is $4,906.  This rate will remain in effect for doubles and the new rate will apply only to those students in the single apartment style rooms.”

Motion passed.

Motion from the Finance Committee for the Board to approve the Residence Life Fee to establish a double room to private room buy-out policy and a rate of one and one half the normal rate.  (This resolution applies to triples/doubles as well).

“ ‘Double-to-Private’ Buy-Out rooms are available on a space available basis only.  Students can submit a written request to the Office of Residence Life and Housing (40 Coming Street) starting the first day of classes for an academic semester.  Opportunity will be given first to those students that are without a roommate after all housing waiting lists have been exhausted and temporarily assigned students have been moved to permanent assignments.  The next priority goes to students in date-received order if open rooms are available to be claimed as a private room.

The rate for a ‘Double-to-Private’ room buy-out is one and one half times the normal charge.  Payment must be made to the Treasurer’s Office and receipt delivered to Residence Life and Housing within 48 hours of the request being granted to have the room as private for the remaining part of the semester.  If the student does not claim the room as a private room then Residence Life and Housing reserves the right to assign a student to the open bed.

Triple rooms cannot be bought out by one student.  However, two roommates may request the ‘buy-out option’ of a third vacant bed by splitting the additional 50% charge or 25% each.”

Motion passed.

Motion from the Finance Committee for the Board to establish a 21-meal plan for student athletes on full scholarship without dining dollars. 

“Create a new Platinum-A meal plan for athletes at $875 per semester.  This is necessary due to NCAA regulations stating that athletes are allowed only three full meals per day.  The closest plan currently in place is the Platinum, which is 21 Café meals plus $125 dining dollars.  The new plan eliminates the dining dollars and establishes a 21 Café plan with no additional dining dollars.”

After discussion and amended motion, motion passed.

New Business:

It was moved (Land) and seconded (Johnson) that the Board go into Executive Session at 11:55 a.m.  Motion passed.

The motion was made (J. Thompson) and seconded (Land) that the Board come out of Executive Session at 1:15 p.m., and the regular session resumed.

It was moved (Land) and seconded (Daniel) to purchase the Jewish Studies Building from the Jewish Studies 501 C.3 Corporation to become a part of the College campus.  All approved.

There being no further business, it was moved (Land) and seconded (J. Thompson) that this meeting of the Board of Trustees be adjourned.

All in favor.  Meeting adjourned at 1:25 p.m.

October 15, 2002

Chairman Small made the motion to approve the minutes of the July 2002 Board of Trustees meeting after former Board member Anne Sheppard’s name is removed from the list of attendees, and Joe Thompson seconded.

All in favor.

Finance Committee:

Mr. Miller made the motion on behalf of the Finance Committee that the adjustments to the budget, as presented at Tab III of the Board Booklet, be approved.  All in favor.

Facilities Committee:

The College closed on the acquisition of 84/86 Wentworth Street and 14 A/B St. Philip Street property on April 1, 2002.  The College has completed a feasibility study to consolidate the School of Education in this new facility.  They presently are in six different locations, making operational administration of the school difficult.  The consultants have estimated the project will cost $4,715,960 based on their preliminary study.  The College is asking the Facilities Committee and the Board to approve its proceeding further with the financing, design and construction of the School of Education on the designated Wentworth/St. Philip Street site in accordance with the program and estimated cost determined by the feasibility study.  It was moved  (Marlowe) that the Board accept the recommendation of the Facilities Committee on the construction and design of the School of Education at a cost of $4,715,960.  No second is necessary in this case.  Monica noted that Yo Burrito, the current tenant in the building, has eight years left on their lease.  Andy Abrams is working with Monica to try to find a way for them to vacate the building sooner.  Bobby Marlowe noted that the property is less than 6,000 square feet.  Andy noted that the lease between the College and Yo Burrito was originally with the Beach Company and that the College potentially is responsible for the market value of the lease, as well as the cost of moving (should not be significant).  All were in favor of the College going forward with this project.

Academic Affairs Committee

The Academic Affairs Committee reviewed minor changes in the Post-Tenure Review Policies.  Dr. Daniel made the motion on behalf of the Academic Affairs Committee for the Board of Trustees to approve the minor amendments to the Post-Tenure Review Policies as presented at Tab VII of the Board Booklet.  All in favor.

New Business

It was moved (Land) and seconded (Miller) that the Board take a break at 9:55 a.m., then go into Executive Session.

There being no further business, it was moved (Miller) and seconded (Land) that this meeting of the Board of Trustees be adjourned.
